Documents Required:

1. A business registration (filing) application form.

2. Articles of association, signed by all shareholders for a limited liability company or by all founders for a company limited by shares.

3. Entity registration documents or natural-person identification documents of shareholders and founders.

◆ A copy of their Business License in case the shareholders or founders are enterprises.

◆ A copy of their Legal Personality Registration Certificate in case the shareholders or founders are public institutions.

◆ A copy of their Legal Personality Registration Certificate in case the shareholders or founders are social groups.

◆ A copy of their Registration Certificate in case the shareholders or founders are private non-enterprise entities.

◆ A copy of their identification documents in case the shareholders or founders are natural persons.

◆ In case the shareholders or founders are foreign investors, the entity qualification or identification documents for such foreign investors shall be notarized by a notary institution in their home country, and be certified by the Embassy or Consulate of the People’s Republic of China in that country. If the investor’s country does not have diplomatic relations with China, the documents shall be certified by the embassy or consulate of a third-party nation which has diplomatic ties with China in that country, and then by the Chinese embassy or consulate in the third-party nation. Documents produced in an overseas territory of a country shall be notarized locally and certified by a diplomatic institution of that country and the Chinese embassy or consulate in that country. Unless an international treaty between China and the relevant country or both the two countries are party to states otherwise. If the identification document submitted by a foreign natural person who comes to China to establish a company is a Permanent Residence Permit for Foreigners issued by China, neither notarization nor certification is required. If the identification document submitted by a foreign natural person is a passport with a visa granted by the Chinese embassy or consulate in his/her country and entry permission from relevant entry-exit administrative departments of China, no notarization is required on the condition that the passport is verified.

The entity qualification or identification documents of investors from China’s Hong Kong, Macao and Taiwan shall be notarized by local notary institutions, in alignment with laws, dedicated regulations and agreements. The identification documents submitted by a natural-person investor from Hong Kong and Macao shall be a permanent identity card, a passport of Hong Kong and Macao, or a mainland residence card and travel permit for Hong Kong and Macao residents issued respectively by a Chinese mainland public security department and entry-exit administrative department, among which a mainland residence card and travel permit for Hong Kong and Macao residents are not required to be notarized. The identification documents submitted by a natural-person investor from China’s Taiwan can be a mainland residence card and travel permit for Taiwan residents issued respectively by a Chinese mainland public security department and entry-exit administrative department, and do not require to be notarized or certified.

4. The appointment papers and copies of identification documents for the legal representative, directors, supervisors and senior executives. If paper documents are submitted for business registration, please make sure copies of ID cards are stuck onto the application forms.

◆ Under the Company Law of China and regulations concerning articles of association, a limited liability company shall submit a shareholder decision or shareholder meeting resolution, and a company limited by shares which is established by means of promotion shall submit the shareholder meeting proceedings (a company limited by shares which is established by means of share offer shall submit the founding meeting proceedings). A company whose management personnel is appointed by the board of directors, the supervisory board and the worker’s congress in alignment with the Company Law and regulations regarding articles of association, shall also submit a board of directors resolution signed by the directors, a supervisory board resolution signed by the supervisors, and a worker’s congress resolution signed by the worker representatives and other relevant documents.

6. A company limited by shares which is set up through share offer shall submit a capital verification certificate issued by a lawfully established capital verification institution. A company limited by shares whose investors made their initial contributions through non-monetary property shall submit documents which confirm all property rights transfer procedures have been completed.

7. A company limited by shares which is established through share offer shall submit approval documents from the China Securities Regulatory Commission.

8. If according to laws, administrative regulations, and decisions of the State Council of China, a company shall submit for approval before establishment, or a company applies for registration for its business scope which covers a project that shall submit for approval before registration in alignment with laws, administrative regulations and decisions of the State Council, it shall submit copies of relevant approval or permission documents.
